BYLAWS
SOUTHERN CALIFORNIA ASSOCIATION OF OCCUPATIONAL HEALTH NURSES, INC
ARTICLE I
NAME
The name of this association shall be the Southern California Association of Occupational Health Nurses, Inc. (SCAOHN), a chapter of the American Association of Occupational Health Nurses (AAOHN), Inc.
ARTICLE II
PURPOSE
The principles of SCAOHN are:
Establish a professional association of licensed nurses and healthcare personnel engaged or interested in the practice of occupational and environmental health;
Promote and/or provide lifelong learning opportunities in occupational and environmental health;
Promote health and safety in the workplace and communities;
Communicate and advocate for occupational health;
Provide opportunities to develop leadership skills.
ARTICLE III
MEMBERSHIP
SECTION 1. Classes of Membership
Active
Licensed nurses and healthcare personnel engaged or interested in the practice of occupational and environmental health nursing;
Active members shall have all rights and privileges of membership including voting, holding SCAOHN office and serving on committees.
Retired
Retiree, who continues to be interested in occupational and environmental health and supports the purposes of SCAOHN.
Retired members may hold office, serve on committees and vote.
Student
A student with interest in occupational and environmental health.
Students may hold office, serve on committees and vote.
SECTION 2. Application for Membership
Membership shall be granted by SCAOHN.
SECTION 3. Dues
Annual dues of members are payable on a 12-month rolling cycle.
Detail of due payment will be determined.
SECTION 4. Transfer of Membership
A member who wishes to transfer from SCAOHN to another AAOHN chapter shall notify the AAOHN Membership Department directly.
SECTION 5. Access to Records
Consistent with legal requirements, a member may inspect the books and records of SCAOHN upon reasonable notice to the Board of Directors.
ARTICLE IV
BOARD OF DIRECTORS
SECTION 1. Composition
The Board of Directors shall be composed of the elected officers and elected or assigned Directors.
To be eligible for a board position, the member must have current either active, student or retired member status.
Board positions includes:
President
Vice President
Secretary
Treasurer
Director positions
Three (3) members from diverse geographical regions if possible.
SECTION 2. Duties
The duties of the Board of Directors shall be to:
Establish the mission and goals of SCAOHN.
Transact the general business and affairs of SCAOHN.
Adopt an annual budget.
Oversee and approve expenditures
Recommend to membership any proposed changes in dues structure.
Provide for annual review of financial books and records.
Fill any vacancy except that of President, by ballot vote.
Process all complaints.
Determine time and place for annual business meeting.
Adopt necessary standing rules and policies to implement these bylaws.
SECTION 3. Meetings
Regular meetings for the Board of Directors shall be held at least annually.
Special meetings of the Board of Directors:
May be called as needed.
All members of the Board of Directors shall be notified not less than five (5) days before the date of the board meeting.
Meetings may be conducted through the use of any means of communication by which any or all Officer/Directors participating may simultaneously hear each other during the meeting. A Officer/Director participating in a meeting by this means is deemed to be present in person at the meeting
Quorum
Four (4) of the members of the Board of Directors, including the President, Vice President, Treasurer, or Secretary, shall constitute a quorum at any meeting of the Board.
SECTION 4. Term of Office
The term of office shall be for two (2) years or until the successor has been elected and assumes office.
No officer may serve more than two (2) consecutive terms in the same office, except the Treasurer whose eligibility for reelection shall not be limited.
Chapter officers shall assume office January 1.
SECTION 5. Vacancy in Office
A vacancy in the office of President shall be filled by the Vice President
Any other vacancy shall be appointed by the President.
A special election may be called if deemed necessary by the Board of Directors.
SECTION 6. Officers
The officers shall be President, Vice President, Treasurer and Secretary.
SECTION 7. Qualifications
To be eligible for election, candidates must be members of SCAOHN.
SECTION 8. Duties
The duties shall be as such as are implied by the respective titles except as otherwise stated in these bylaws and more specifically shall include the following:
The President shall:
Be the chief executive officer and official representative of SCAOHN.
Perform duties as set down in the bylaws or standing rules adopted by the Board of Directors.
Appoint all Standing and Ad Hoc Committees.
Sign all checks in the absence of the Treasurer.
Submit a written report at the annual meeting.
Submit to the AAOHN office written reports as requested by AAOHN.
Notify AAOHN in writing of the election or change in officers within 30 days.
In the absence of the President, the Vice President shall assume any/all of the duties of the President.
The Vice-President shall:

Program development for continuing education events
The Treasurer shall:
Deposit all monies belonging to this association in a financial institution.
Keep itemized records of receipts and disbursements and record of accounts.
Pay all bills.
Submit a YTD financial report at each BOD meeting and to the annual business meeting.
The Secretary shall:
Record the minutes of all meetings of SCAOHN and of the Board of Directors.
Conduct the general correspondence as directed by the Board of Directors.
All officers shall deliver to their successors all books, papers, and other property belonging to the association, within thirty (30) days after completion of term of office.
SECTION 9. Directors
There shall be minimum of 3 Directors
Duties of Directors:
Representative to CSAOHN
Education Coordinator
Work in conjunction with the Vice President to keep accurate CEU records to ensure compliance with the BRN
Membership and Communication Coordinator
Keep accurate records of membership
Work with webmaster to keep webpage current.
ARTICLE V
NOMINATIONS AND ELECTIONS
SECTION 1. Ballot
The Board shall request that members recommend the names of candidates for each elective position. If none are obtained, the Board shall contact members and ask if they wish to run.
The consent of all persons whose names are to appear on the ballot shall be secured.
SECTION 3. Elections
All elections shall be held annually with an electronic ballot prepared.
In even numbered calendar years, the ballot shall contain nominees for the office of:
President
Treasurer
One Director
In odd numbered years the ballot shall contain nominees for the office of:
Vice President
Secretary
Two (2) Directors
Vote Requirement
A plurality vote shall elect. In the unlikely event of a tie vote, a decision shall be made through the board of directors.
ARTICLE VI
MEETINGS
SECTION 1. Annual Meeting
There shall be an Annual Meeting (usually in conjunction with State Conference) at such time and place as shall be determined by the Board of Directors.
The results of the ballot will be announced and officers installed for following year
In the event of an emergency, the board of directors may cancel or reschedule the annual meeting.
All members shall be notified of the cancelation or rescheduling as well and the election results
SECTION 2. Special Meetings
Special, unscheduled meetings may be called by the president as needed.
SECTION 3. Notices
Notices of meetings or educational events will be sent electronically and as needed by mail not less than ten (10) days before the date of the meeting/event.
SECTION 4. Quorum
Simple majority of voting members present, including two (2) officers, one of whom shall be the President, or Vice President to constitute a quorum.
SECTION 5. Official Record
An official record of the meetings shall be made.
ARTICLE VII
COMMITTEES
SECTION 1. Standing Committees and Ad Hoc Committees
As needed, committees shall be established and appointed by the President with the approval of the Board of Directors
Each committee shall consist of at least two (2) members.
SECTION 2. Ex-Officio Members
The President shall be an ex-officio member of all committees.
SECTION 3. Quorum
Quorum for any committee meeting shall be a majority of the committee
ARTICLE VIII
PARLIAMENTARY AUTHORITY
Roberts Rules of Order Newly Revised shall govern the proceedings of Southern California Association of Occupational Health Nurses in all cases not provided by these bylaws or in the standing policies and procedures.
ARTICLE IX
AMENDMENTS
SECTION 1
These bylaws may be amended, at any annual meeting, special meeting, or electronic ballot by a two-thirds (2/3) vote of the members present and voting, provided that the proposed amendments shall have been approved by the Board of Directors and sent to voting members at least thirty (30) days in advance.
These bylaws may be amended at any annual meeting, special meeting or electronic ballot without previous notice, by a ninety-nine percent vote of all members present and voting provided the proposed amendments shall have been approved by the Board of Directors.
